Terms of Service

These terms apply to your use of the Alethia Works website and to any engagement with our services unless superseded by a signed statement of work or contract. By continuing to engage with us, you accept these terms.
Contracting parties
Who you are contracting with
Alethia Works is a collaborative brand operated by two independent Belgian private limited companies (besloten vennootschappen):
Bandoco BV — registered in Belgium, represented by Simon Peters.
[Chris's company] BV — registered in Belgium (placeholder; name to be updated).
The specific legal entity entering into a contract with you is identified by name in the relevant statement of work or proposal. All rights and obligations in these terms apply to whichever entity is named as the contracting party in that document. Belgian law applies to all engagements regardless of which entity contracts.
Where no statement of work has yet been signed, references to "Alethia Works," "we," or "us" in these terms refer to both entities jointly as they operate under the shared brand.
Services
What we do
Alethia Works provides AI consulting, software design, and development services to businesses. Our core service lines are:
Audit— a structured assessment of your organisation's AI readiness, identifying where AI can create value and what risks to manage.
Build — custom AI-native software design and development, from prototypes to production systems.
Orbit — an ongoing retainer for AI operations, monitoring, and continuous improvement.
The scope, deliverables, timeline, and fees for any specific engagement are defined in a written statement of work or proposal agreed between the parties before work begins.
Engagements
Statements of work
Each engagement is governed by a statement of work (SOW) or signed proposal that specifies scope, deliverables, schedule, pricing, and the identity of the contracting entity. In the event of any conflict between these terms and a signed SOW, the SOW takes precedence.
Changes to scope or deliverables during an engagement require written agreement from both parties. We will not begin material out-of-scope work without a written change order.
Payment
Invoicing and payment terms
Invoices are issued by the contracting entity named in the statement of work and are due within 30 days of issue unless otherwise agreed in writing. We reserve the right to pause work on an engagement if an invoice is more than 14 days overdue, without prejudice to any amounts owed.
All fees are quoted exclusive of Belgian VAT unless otherwise stated. Applicable VAT will be added to invoices where required by law.
Intellectual property
Ownership of deliverables
Upon receipt of full payment for an engagement, the client owns the custom deliverables created specifically for that engagement, including source code, designs, and documentation. Ownership transfers from the contracting entity to the client at the point of full payment.
The contracting entity retains ownership of any pre-existing tools, frameworks, or general methodologies used in the course of delivery. Both Alethia Works entities retain the right to reference completed work in portfolio and case studies unless the engagement is covered by a non-disclosure agreement that prohibits this.
Confidentiality
Non-disclosure obligations
Both parties agree to keep confidential any non-public information disclosed in the course of an engagement, and not to use it for any purpose outside the engagement. This obligation survives the end of the engagement for a period of three years.
Where a more specific non-disclosure agreement has been signed, its terms govern.
Limitation of liability
Liability cap
To the maximum extent permitted by Belgian law, the contracting entity's total liability for any claim arising out of or related to an engagement is limited to the total fees paid by the client in that engagement during the twelve months preceding the claim. The other Alethia Works entity has no liability in connection with engagements it did not originate.
We are not liable for indirect, consequential, incidental, or special damages, including lost profits or lost data, even if we have been advised of the possibility of such damages.
Governing law
Jurisdiction
These terms and any disputes arising from them are governed by Belgian law, regardless of which Alethia Works entity is the contracting party. The courts of Antwerp have exclusive jurisdiction, unless mandatory consumer protection provisions of your local law provide otherwise.
Changes to these terms
Updates
We may update these terms from time to time. Updated terms will be published on this page with a revised "last updated" date. Continued engagement with Alethia Works after an update constitutes acceptance of the new terms. We will notify active clients of material changes by email.
